End-User License Agreement

Effective Date: 05/23/2025

This End-User License Agreement ("Agreement") is a legal agreement between you ("Licensee," "you," or "your") and Chippie Bear Industries, LLC ("Company," "we," "us," or "our") governing your use of Whiskers AI and related software, documentation, files, and official release packages (collectively, the "Software").

By downloading, installing, copying, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not download, install, copy, access, or use the Software.

1. Definitions

1.1 Software

"Software" means Whiskers AI, including official release packages, source code files, scripts, documentation, configuration files, examples, bundled assets, and related materials distributed by Chippie Bear Industries, LLC.

1.2 Official Release

"Official Release" means a version of the Software distributed directly by Chippie Bear Industries, LLC through an approved distribution channel.

1.3 Modified Version

"Modified Version" means any version, copy, fork, derivative, altered package, or changed copy of the Software that differs from an Official Release.

1.4 Internal Business Use

"Internal Business Use" means use of the Software within your own business, organization, or professional workflow, without redistributing, reselling, hosting, sublicensing, or providing the Software to third parties as a standalone product or service.

2. License Grant

Subject to your compliance with this Agreement, Chippie Bear Industries, LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, access, and use the Software for personal use, Internal Business Use, or both.

This license does not transfer ownership of the Software to you. Chippie Bear Industries, LLC retains all rights, title, and interest in and to the Software except for the limited rights expressly granted in this Agreement.

3. Permitted Uses

You may:

1. Install and use the Software on systems you own or control.
2. Use the Software for personal projects, research, experimentation, development, or productivity workflows.
3. Use the Software for Internal Business Use.
4. Inspect the source code included with the Software.
5. Modify the Software for your own personal or Internal Business Use.
6. Make reasonable backup copies of the Software for archival, recovery, or operational purposes.
7. Use the Software with third-party local AI models, runtimes, tools, and supporting software, subject to the terms of those third-party components.

4. Restrictions

You may not, without prior written permission from Chippie Bear Industries, LLC:

1. Redistribute, publish, upload, share, sell, rent, lease, sublicense, or otherwise provide the Software or any Modified Version to third parties.
2. Sell access to the Software or any Modified Version as a standalone product or service.
3. Publicly distribute Modified Versions of the Software.
4. Represent any Modified Version as an Official Release.
5. Remove, obscure, or alter copyright notices, attribution notices, license notices, or branding notices included with the Software.
6. Use the Whiskers AI name, logo, artwork, branding, or related marks in a way that implies endorsement, sponsorship, affiliation, or official release status without permission.
7. Use the Software to violate applicable law or infringe the rights of others.
8. Circumvent, disable, bypass, or interfere with any license validation, access control, or official release mechanism included with the Software.

5. Source Visibility and Modifications

The Software may be distributed with visible or inspectable source code. Source visibility is provided to support transparency, local inspection, user understanding, and personal or internal customization.

Viewing, accessing, copying, or modifying the source code does not transfer ownership rights and does not grant permission to redistribute, resell, sublicense, publish, or publicly distribute the Software or any Modified Version except as expressly permitted by this Agreement.

You are solely responsible for any changes you make to the Software. Chippie Bear Industries, LLC is not obligated to support Modified Versions.

6. Ownership and Intellectual Property

The Software, including its source code, design, architecture, documentation, branding, logos, artwork, names, and related materials, is owned by Chippie Bear Industries, LLC or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws.

All rights not expressly granted in this Agreement are reserved by Chippie Bear Industries, LLC.

7. Branding and Attribution

The Whiskers AI name, logos, artwork, mascots, visual identity, and official release packaging are protected branding assets of Chippie Bear Industries, LLC.

You may not use Whiskers AI branding in connection with a Modified Version, redistributed copy, commercial fork, competing product, hosted service, or public package in a way that suggests the product is official, endorsed, sponsored, or maintained by Chippie Bear Industries, LLC unless you have written permission.

8. Support, Updates, and End-of-Life

Support may be provided on a best-effort basis through channels designated by Chippie Bear Industries, LLC.

Support is generally limited to Official Releases, documented installation paths, documented runtime behavior, payment or license access issues, and current major release branches.

When a new major version is released, earlier major versions may enter end-of-life status and may no longer receive active support, compatibility fixes, updates, or maintenance.

Chippie Bear Industries, LLC is not obligated to provide support for Modified Versions, unsupported environments, third-party model behavior, third-party runtime failures, user-modified configurations, experimental operating environments, obsolete releases, or unofficial distributions.

9. Third-Party Software, Models, and Services

The Software may interact with or depend on third-party software, tools, libraries, models, runtimes, platforms, payment processors, hosting providers, or contact form providers. Examples may include local model runtimes, AI models, Python packages, Cloudflare, Lemon Squeezy, Formspree, or other third-party services.

Third-party components are governed by their own licenses, terms, policies, and warranties. Chippie Bear Industries, LLC is not responsible for third-party software, third-party services, third-party models, or user-managed environments.

10. Local Runtime and Data

Whiskers AI is designed as local-first software. The Software is intended to operate on systems controlled by the user and does not intentionally transmit user conversations, local session logs, summaries, canon files, contracts, prompts, or runtime data to Chippie Bear Industries, LLC servers.

You are responsible for managing, backing up, securing, deleting, exporting, and protecting your own local data.

11. AI Output Disclaimer

The Software may be used with third-party AI models or local inference runtimes. Chippie Bear Industries, LLC does not create, control, verify, endorse, or guarantee the accuracy, legality, safety, reliability, suitability, or usefulness of AI-generated output produced by third-party models or runtimes used with the Software.

You are solely responsible for evaluating AI-generated output before relying on it.

The Software is not intended to provide legal, medical, financial, security, safety-critical, or professional advice.

12. Payment, Licensing, and Access

Access to certain Official Releases may require purchase, license activation, payment confirmation, or other access authorization. Payment processing may be handled by third-party payment providers.

You are responsible for providing accurate purchase and contact information when required. Chippie Bear Industries, LLC may revoke access or terminate this license if payment is reversed, fraudulent, unauthorized, or otherwise invalid.

13. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHIPPIE BEAR INDUSTRIES, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, COMPATIBILITY, AND ERROR-FREE OPERATION.

CHIPPIE BEAR INDUSTRIES, LLC DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OPERATE WITH ALL MODELS OR RUNTIMES, REMAIN COMPATIBLE WITH ALL SYSTEMS, OR PRODUCE ANY PARTICULAR RESULT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHIPPIE BEAR INDUSTRIES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, SYSTEM FAILURE, SECURITY INCIDENTS, MODEL OUTPUT, OR COSTS OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHIPPIE BEAR INDUSTRIES, LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Chippie Bear Industries, LLC from and against any claims, damages, liabilities, losses, costs, and expenses arising out of or related to your misuse of the Software, violation of this Agreement, violation of applicable law, infringement of third-party rights, redistribution of the Software, distribution of Modified Versions, or use of AI-generated output.

16. Termination

This Agreement is effective until terminated.

Your rights under this Agreement terminate automatically if you violate its terms. Upon termination, you must stop using the Software and destroy or delete unauthorized copies in your possession or control.

Sections relating to ownership, restrictions, warranty disclaimers, limitation of liability, indemnification, termination, and governing law survive termination.

17. Changes to This Agreement

Chippie Bear Industries, LLC may update this Agreement from time to time. Updated terms may apply to future downloads, purchases, updates, or Official Releases.

If a material change affects your rights or obligations, Chippie Bear Industries, LLC may provide notice through the official website, release notes, purchase channel, or other reasonable method.

18. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Texas, United States, without regard to conflict-of-law principles.

Venue for disputes arising under this Agreement shall be in the state or federal courts located in Texas, unless applicable law requires otherwise.

19. Severability

If any provision of this Agreement is found unenforceable, invalid, or unlawful, the remaining provisions will remain in full force and effect. The unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable where possible.

20. Entire Agreement

This Agreement represents the entire agreement between you and Chippie Bear Industries, LLC regarding the Software and supersedes any prior or contemporaneous agreements, understandings, or communications regarding the Software.
